1. Acceptance of Terms

The Latica Ventures name and logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Latica Ventures LLC. You must not use such marks without our prior written permission.

If you provide us with any feedback, suggestions, or ideas regarding the Site or our services, you grant us an unlimited, irrevocable, perpetual, royalty-free license to use that feedback for any purpose.

4. Investment Disclosures and Disclaimers

Latica Ventures LLC is a registered investment adviser. Nothing on this Site constitutes investment advice, an offer to sell, or a solicitation of an offer to buy any security or investment product. All investment decisions should be made in consultation with qualified financial advisors.

Information about portfolio companies and investment activities is provided for informational purposes only and should not be relied upon as a basis for any investment decision. Past performance of any portfolio company or investment does not guarantee or predict future results.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Santa Clara County, California, and you consent to the personal jurisdiction of such courts.

BEFORE INITIATING ANY LEGAL ACTION, YOU AGREE TO ATTEMPT IN GOOD FAITH TO RESOLVE ANY DISPUTE INFORMALLY BY CONTACTING US AT hello@laticaus.com. WE WILL ATTEMPT TO RESPOND WITHIN 30 DAYS AND WORK WITH YOU TO RESOLVE THE DISPUTE INFORMALLY.

12. Termination

We reserve the right to terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Site ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Modifications to Terms

Severability: If any provision is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any provision shall not constitute a waiver of that provision.

Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.

No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
